FORMS TO BE DELIVERED TO THE REGULATOR OF COMMUNITY INTEREST COMPANIES
To convert from an Industrial & Provident Society (with or without exempt charity status or charitable status) to a community interest company is a two-part conversion process, see below.
If you have charitable status, please contact the Commissioners of Her Majesty’s Revenue and Customs (for Northern Ireland exempt charities) to discuss the implications of the proposed conversion.
Part 1:
You are required to deliver to the Registrar of Industrial and Provident Societies:
1.
A copy of the special resolution to convert from an Industrial and Provident Society to a Company.
Part 2:
You are required to deliver to the Registrar of Companies the following completed documents, with a fee:

1. Form IN01- When you complete the Form IN01you will need to indicate that the proposed company is adopting bespoke articles (OPTION 3).
2. Form CIC 36 (English/Welsh)- Application to form a Community Interest Company, inclusive of declarations.

Memorandum of Association.
4.
A printed copy of the Articles of Association - If you are not using one of the CIC model articles of association please click on the following: Important information.
5.
Cheque for £35 - made payable to Companies House.
6.
Form CIC 36 continuation sheets (English/Welsh) (use only if needed).
7. Information for the Regulator
Registration – Criminal Records Bureau Checks (CRB)
It is the policy of the Regulator to seek confirmation that appropriate CRB checks are in place or will be put in place for anyone in the company who has contact with, or will be working with young and/or vulnerable people. Please ensure that you provide relevant details when submitting your application to become a community interest company – this can include a copy of a letter from a registered body or a letter that contains a disclosure reference number or a letter from you providing an assurance that the relevant checks will be obtained.

Process:
1. The Registrar of Companies will pass copies of these documents to the Regulator of Community Interest Companies to consider whether the company is eligible to form as a community interest company.
2.
If eligible and if the documents are acceptable to the Registrar of Companies the documents will be registered on the public record and the Registrar will issue a certificate of incorporation.
