FORMS TO BE DELIVERED TO THE REGULATOR OF COMMUNITY INTEREST COMPANIES

To convert and reregister a private company to a community interest public limited company y ou are required to deliver to Registrar of Companies the following completed documents, with a fee:

1. Form CIC37 (English/Welsh)- application to convert a company to a Community Interest Company, inclusive of declarations.

2. A copy of the Special Resolutions :

- stating that the company should re-register as a public company

- to alter the company’s articles to state that the company is to be a community interest company;

- to make such alterations of the articles of association as it considers necessary to comply with the requirements imposed by and by virtue of section 32 of the Companies (Audit, Investigations and Community Enterprise) Act 2004 or otherwise appropriate in connection with becoming a community interest company ;

- to change the company’s name to include one of the following community interest public limited company / community interest p.l.c.

- to make any other alterations to the articles so that it conforms to that required for a public limited company.

3. Form RR01, an application to change the status from private to public

4. A copy of a balance sheet prepared not more than seven months before the application date;

5. An unqualified report by the company’s auditors on the balance sheet;

6. A written statement by the auditors regarding the net assets of the company at the balance sheet date in relation to the company's called-up share capital and its undistributable reserves in relation to section 92(1) (c) of the Companies Act 2006;

7. A valuation report, if applicable, on any shares issued as fully or partly paid up except in cash after the balance sheet date in accordance with section 93(2)(a) of the Companies Act 2006;

8. A statement of the company’s proposed secretary (if there is no secretary appointed) in part 2 of the form RR01

9. A printed copy of the Articles of Association of the company altered in accordance with the resolution above. If you are not using one of the CIC model articles of association please click on the following: Important information.

10. Form NM01 - Notice of change of name by resolution

11. A cheque for £35 should be made payable to Companies House.

12. CIC37 continuation sheet (English/Welsh) (use only if needed)

Registration – Criminal Records Bureau Checks (CRB)
It is the policy of the Regulator to seek confirmation that appropriate CRB checks are in place or will be put in place for anyone in the company who has contact with, or will be working with young and/or vulnerable people. Please ensure that you provide relevant details when submitting your application to become a community interest company – this can include a copy of a letter from a registered body or a letter that contains a disclosure reference number or a letter from you providing an assurance that the relevant checks will be obtained.
